Overview
Welcome to Butler Advisor Network. These terms of use (the “Agreement”) set out our agreement with you regarding your use of the Butler Advisor Network platform (the “BAN Platform”), an online membership and networking application designed and offered by Butler Advisor Network Inc. (“BAN,” “us,” or “our”). The BAN Platform assists financial advisors and related professionals in connecting, collaborating, and discovering opportunities in a private, secure community.
This Agreement is legally binding and explains our obligations as a service provider and your obligations as a user and subscriber of the BAN Platform and related services (the “Services”). It is important that you read this Agreement carefully.
By registering, accessing, or using the BAN Platform, you accept this Agreement. If you do not agree, your only remedy is to discontinue use of the Platform and Services.
BAN reserves the right to modify these terms at any time. Updates will be communicated via email or posted on the Platform or our website (www.butlermarketing.net). The most current version always applies.
General
BAN grants you a non-exclusive, non-transferable limited license to use the BAN Platform subject to your compliance with this Agreement. If you are entering into this Agreement on behalf of a company or other entity, you represent that you have authority to bind that entity. You agree not to infringe upon BAN’s or third parties’ intellectual property rights. BAN may add, discontinue, or revise features or Services at any time without liability.
Conditions of Use
You must provide true, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your username, password, and account activity. You agree not to share your account credentials or allow unauthorized use. You are solely responsible for the accuracy and legality of any content you upload, post, or share on the Platform.
Updates to Software
BAN may update its software from time to time. Updates may occur automatically or through prompts within the Platform. Continued use after updates constitutes acceptance of the revised terms.
Limitation of Liability; Indemnity
The BAN Platform and Services are provided “as is” without warranties of any kind. BAN disclaims all express and implied warranties, including merchantability, fitness for purpose, and non-infringement. BAN shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, downtime, errors, unauthorized access, or data loss. You agree to indemnify and hold harmless BAN, its affiliates, directors, officers, employees, and service providers from any claims arising out of your use of the Platform or violation of this Agreement.
Ownership and Use of Information
You retain ownership of all data and content you upload to the BAN Platform. By posting content, you grant BAN a non-exclusive, royalty-free, worldwide license to use, host, and display such content as necessary to provide the Services. BAN may disclose information where required by law, regulation, or court order.
Intellectual Property
All rights, trademarks, trade names, logos, and intellectual property associated with the BAN Platform remain the exclusive property of BAN and its licensors. You may not copy, modify, distribute, or reverse-engineer any part of the Platform.
Fees and Payment
Certain features or membership levels may be subject to fees as published on our website. BAN reserves the right to change pricing at any time. You are responsible for all applicable taxes and payment processing fees.
Prohibited Use
You may not use the BAN Platform to: engage in illegal, fraudulent, or abusive activities; upload viruses, malware, or harmful code; harass, defame, or threaten other users; collect or misuse other users’ data without consent; interfere with the security, performance, or operation of the Platform.
Termination
BAN may suspend or terminate your account at any time if you violate this Agreement. Upon termination, you must cease all use of the Platform.
Third Party Links and Services
The BAN Platform may contain links to third-party sites or services. BAN is not responsible for and does not endorse third-party content, products, or services.
Force Majeure
Neither party shall be liable for delays or failure to perform due to events beyond reasonable control, including but not limited to natural disasters, power outages, or labor disputes.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the Province of Manitoba, Canada, and the applicable laws of Canada. Any disputes shall be resolved in the courts located in Winnipeg, Manitoba.
Language
This Agreement has been drafted in English. You acknowledge that English shall be the controlling language of this Agreement and all related documents.
